When Black Friday Orders Ship Late: The FTC Mail Order Rule and UK Delivery Law for Shopify Fashion Brands (2026)
What US and UK law require when a BFCM order cannot ship on time: reasonable-basis shipping claims, delay notices, essential dates and refund deadlines.

Quick answer: If a Black Friday order cannot ship on time, the law, not your returns policy, decides what happens next. In the US, the FTC's Mail, Internet, or Telephone Order Merchandise Rule says you need a reasonable basis for every shipping promise, must ship within 30 days if you state no time, and must send a delay notice offering the customer the choice to wait or cancel, with refunds due within seven working days of cancellation. In the UK, the Consumer Rights Act 2015 sets a default of delivery without undue delay and within 30 days, lets the customer end the contract if a delivery date was essential, and makes you, not the courier, responsible until the parcel arrives. Set honest "ships by" dates now, and prepare a delay notice before you need it.
This article summarises official guidance for fashion brands. It is not legal advice; check specifics for your business with counsel.
Black Friday falls on 27 November 2026 and Cyber Monday on 30 November. For fashion brands, the week brings the conditions that cause late orders: limited drops that oversell, restocks sold as pre-orders, gift orders with a hard Christmas deadline, and warehouses running at full stretch. Our guides to US holiday shipping cutoffs and UK Christmas shipping cutoffs cover the carrier dates. This one covers the part those dates do not: what you are legally required to do when an order will not leave the warehouse when you said it would.
The US rule: shipping promises need a reasonable basis

The FTC's Mail, Internet, or Telephone Order Merchandise Rule covers most goods ordered online, by phone or by mail, regardless of how the customer paid. According to the FTC's business guide, it works in four steps.
1. Every shipping claim needs a reasonable basis
If your product page, checkout or ads say "ships in 2 business days" or "order by 15 December for Christmas," you need a reasonable basis for that claim when you make it. The FTC says to consider anticipated demand, supply, fulfilment capacity and recordkeeping. A countdown banner that promises next-day dispatch during your largest sale of the year is a shipping claim.
2. No stated time means 30 days
If you do not clearly state a shipping time, you must have a reasonable basis to expect to ship within 30 days of receiving a properly completed order. The FTC defines shipping as the moment the merchandise is physically placed in the possession of the carrier. (If the customer applies for credit to pay, the period is 50 days.)
3. If you cannot ship on time, send a delay option notice
When you learn you cannot meet the promised or 30-day date, you must notify the customer "reasonably quickly" and seek their consent to the delay. The notice must:
Give a definite revised shipping date, or explain why you cannot give one.
Explain the customer's right to cancel and get a prompt refund.
Give a free way to cancel, such as a reply email or a link.
If the new date is 30 days or less after the original, the customer's silence counts as consent. If it is longer, the order is cancelled automatically unless the customer agrees to wait. If you then miss the revised date, you must send a renewed notice, and this time the FTC says "the customer's silence may not be treated as a consent to delay."
4. Refund fast, and in money
When an order is cancelled, the FTC requires refunds within seven working days for most payment methods, or within one billing cycle where you are the creditor. Refunds cannot be store credit, vouchers or scrip. The FTC can seek civil penalties of up to $53,088 per violation, according to its business guide.
The UK rule: 30 days, essential dates and who carries the risk

In the UK, section 28 of the Consumer Rights Act 2015 sets the default. Unless you agree a time with the customer, you must deliver "without undue delay" and "not more than 30 days after the day on which the contract is entered into."
If you miss the agreed or default time, the customer's options depend on whether timely delivery was essential:
Essential date missed: the customer may "treat the contract as at an end" straight away if delivery on time was essential in the circumstances, or if they told you before ordering that it was. Citizens Advice gives the example of a wedding cake; a gift ordered for a specific date can fall into the same category.
Non-essential date missed: the customer can set a further reasonable period. If you miss that too, they can end the contract.
Refund: if the contract ends, you must "without undue delay reimburse all payments made under the contract."
Citizens Advice also spells out a point that matters for peak: it is the seller's responsibility to make sure the item is delivered, even when a courier lost it. Unless the customer chose a safe place or an alternative location, a parcel the courier failed to deliver is your problem to solve.
Where fashion brands get caught out at peak
Each of these is common in a busy Cyber Week, and each has a fix you can set up now.
Oversold drops. If inventory sync lags during a limited release, you can sell more than you hold. Treat any oversold units as a delay: notify, offer a revised date and the right to cancel, rather than quietly back-ordering.
Pre-orders and restocks. Show a clear expected ship date on the product page and in the confirmation email, and only promise a date you have a basis for. Shopify's pre-order guidance notes you can hold fulfilment on an order, and advises telling customers when you do.
Made-to-order and personalised pieces. Monogrammed knits or alterations take longer at peak. State the production time up front so the 30-day default never applies by accident.
Split shipments. If part of an order ships and part is delayed, treat the delayed items as a delay and send the same notice and cancel option you would for a whole order.
Gift deadlines. In the UK, a customer who tells you an order is for a specific date may have an essential date. Do not accept "guaranteed for Christmas" notes unless you can meet them.
Collecting payment early on pre-orders. Shopify warns that customers who are not expecting a charge may file a chargeback, so communicate before you capture payment.
Write your delay notice now, not on 1 December

A good delay notice protects you legally and keeps the customer. Prepare one template per market before Black Friday, with these elements:
Subject line that says what happened: "Your order is delayed: choose what happens next."
The item and order number, so it is unmistakable.
A definite revised ship date, or an honest reason if you do not have one yet.
Two clear options: wait for the new date, or cancel for a full refund.
A free, one-click way to cancel, such as a button or a reply.
What silence means (in the US, silence only counts as consent for a first delay of 30 days or less).
Refund timing you can keep: within seven working days in the US; without undue delay in the UK.
A human contact for gift deadlines and alternatives, such as a similar style that ships now.
That last point is where styling helps. When a sold-out coat cannot ship in time for a gift, offering a close alternative in stock, with the same silhouette or colour, can save the sale. Be clear that it is a new order, not a substitution, and let the customer choose.
FAQ
Does the FTC Mail Order Rule apply to online orders?
Yes. The FTC's business guide says the rule covers orders placed by mail, telephone, fax or the Internet, regardless of how the order was paid.
How long do I have to ship if I do not state a time?
In the US, you need a reasonable basis to expect to ship within 30 days of a properly completed order (50 days if the customer applies for credit). In the UK, the default is delivery without undue delay and within 30 days of the contract.
What must a delay notice include under the FTC rule?
A definite revised shipping date (or the reason you cannot give one), the customer's right to cancel for a prompt refund, and a free way to cancel.
How quickly must I refund a cancelled delayed order?
Under the FTC rule, within seven working days for most payment methods, or within one billing cycle if you are the creditor. In the UK, without undue delay. Refunds should be money, not store credit.
Who is responsible if the courier loses a UK parcel?
The seller. Citizens Advice says it is the seller's responsibility to make sure the item is delivered, unless the customer chose an alternative delivery location.
Can a UK customer cancel if a Christmas gift arrives late?
If timely delivery was essential and the customer made that clear before ordering, or it was clear from the circumstances, section 28 of the Consumer Rights Act lets them treat the contract as ended and get a refund.
